What is Company Registration in Delhi?

Company registration in Delhi is the incorporation of a company under the Companies Act, 2013 through the MCA electronic system. The applicant selects the company structure, proposes a name, provides subscriber, director and registered-office details, and files SPICe+ with applicable linked forms. After approval, MCA issues the Certificate of Incorporation (COI) and Corporate Identity Number (CIN).

Why is Company Registration in Delhi Required?

Incorporation creates the company's legal identity and provides the corporate framework for ownership, management and statutory compliance.

Creates a Legal Entity

Successful incorporation establishes the company as an incorporated legal entity.

Provides a Formal Structure

The selected company type determines ownership, management and liability arrangements.

Supports Business Operations

After incorporation, the company can proceed with applicable banking, tax, licensing and sector-specific registrations.

Establishes Compliance Obligations

The company becomes responsible for applicable statutory filings.

Eligibility Criteria

Eligibility depends on the company structure and subscribers/directors. Common requirements include:
  • Private company: two or more persons can form a private company for a lawful purpose.
  • One Person Company (OPC): one person can form an OPC, subject to applicable Companies Act requirements.
  • Public company: seven or more persons can form a public company for a lawful purpose.
  • The company must have a permissible name, lawful objects and registered office.
  • Subscribers and proposed directors must provide the identification and address documents applicable to their circumstances.
  • Additional conditions may apply to Section 8, foreign or corporate subscribers.

Licensing Authority of Company Registration in Delhi

Company incorporation is regulated by the Ministry of Corporate Affairs under the Companies Act, 2013. Applications are filed through the MCA electronic system and processed under the applicable Registrar of Companies (RoC) jurisdiction. A company proposing a registered office in Delhi falls under the relevant Delhi RoC jurisdiction.

Documents Required

The checklist varies by company type and registered-office arrangement. Common documents include:
  • PAN and identity proof of proposed directors and subscribers.
  • Residential address proof of proposed directors/subscribers.
  • Recent photographs, where applicable.
  • Proof of the proposed registered office.
  • Recent utility bill supporting the registered-office address, where applicable.
  • No-objection certificate from the property owner, where required.
  • Digital Signature Certificate (DSC) for persons required to sign electronically.
  • Proposed company name, business activity and director/subscriber details.
  • MoA and AoA through the applicable incorporation filing route.
  • Foreign, corporate and Section 8 incorporations may require additional documents.

How to Get Company Registration in Delhi?

The Delhi company registration process is completed online through the MCA portal using SPICe+ and applicable linked forms. The main steps are:

Choose the Company Structure

Select a Private Limited Company, OPC, Public Company or eligible Section 8 Company according to the business requirement.

Select and Reserve the Name

Choose a name meeting MCA requirements. If SPICe+ Part A is filed separately for name reservation, the MCA fee is ₹1,000.

Arrange DSC and Documents

Obtain required digital signatures and prepare identity, address and registered-office documents.

Complete SPICe+ Part B

Enter incorporation, capital, subscriber, director, registered-office and business details.

Complete Linked Forms

Depending on the case, filings can include e-MoA, e-AoA, INC-9 and AGILE-PRO-S.

Submit and Pay Charges

Submit the application and pay applicable MCA charges and Delhi stamp duty.

Respond to MCA Queries

Provide corrections or additional documents if MCA raises a query or resubmission request.

Receive the Certificate

After successful processing, MCA issues the COI and CIN.

What is the Fee for Registering a Company in Delhi?

There is no single fixed company registration cost in Delhi. The statutory amount depends on company type, authorised capital, name reservation, MCA filing charges and Delhi stamp duty. Professional service fees are separate.
Fee Component Applicable Position
Name reservation ₹1,000 when SPICe+ Part A is filed separately.
MCA filing fee Eligible companies with authorised capital up to ₹15 lakh receive the Zero Filing Fee concession, subject to applicable conditions.
Delhi stamp duty MCA's published Delhi schedule specifies the applicable stamp duty for incorporation documents; the amount depends on the company type and instrument.
Professional fee Charged separately according to service scope and complexity.

Penalties

Company incorporation has no single Delhi registration penalty. Consequences depend on the specific legal or compliance default. After incorporation, failure to meet applicable statutory requirements can result in additional fees, penalties or other action under the relevant law.

Certificate

After successful incorporation, MCA issues the Certificate of Incorporation and assigns a Corporate Identity Number (CIN), confirming the company's incorporation and registration details.

Validity of Licence

Company incorporation is not a fixed-term licence. The company continues as an incorporated entity unless it is dissolved, struck off or otherwise ceases to exist through a legally recognised process.

Compliance Requirements

After incorporation, a company may need annual MCA filings, statutory records, financial statements and applicable tax, GST, labour and sector-specific compliance. Legal Infinix can also assist with post-incorporation compliance.

Amendment of Licence

Company registration is not amended through a separate licence-amendment process. Changes to the registered office, directors, share capital or constitutional documents are handled through applicable corporate procedures, resolutions, MCA forms and supporting documents.

Renewal

The Certificate of Incorporation does not require periodic renewal. The company maintains its legal status by completing applicable statutory and corporate compliance requirements.

Renewal Process

A separate renewal application is not required for the Certificate of Incorporation because company incorporation has no fixed renewal period. However, any other licence or registration held by the company that has a prescribed renewal cycle must be renewed with the concerned authority within the applicable timeline.

Renewal Charges

There is no recurring renewal charge for the Certificate of Incorporation itself. Government fees, additional filing fees or professional charges may arise for recurring statutory filings, amendments, or renewal of separate business licences and registrations.

Surrender of Licence

A company does not surrender its Certificate of Incorporation like a short-term licence. If the company is no longer required, an appropriate closure route, such as voluntary strike-off where eligible, must be followed under prevailing MCA requirements.

Common Reasons for Rejection

  • Proposed company name is identical or too similar to an existing company or LLP.
  • Proposed name or objects do not meet applicable MCA requirements.
  • Information does not match across MCA forms and supporting documents.
  • Registered-office proof or owner NOC is incomplete or unsuitable.
  • Required DSCs, declarations or linked forms are missing or incorrectly filed.
  • Foreign or corporate subscriber documents are not properly prepared or authenticated.
  • MCA queries or resubmission requirements are not addressed correctly.
